Welcome to VitaScribe.ca ("VitaScribe," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our ambient AI documentation solution (the "Service") that assists licensed healthcare professionals in generating and managing clinical notes.

By using or accessing VitaScribe.ca, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

1. Eligibility

The Service is intended for use by licensed healthcare professionals authorized to practice in Canada, or by authorized representatives of healthcare organizations. By using the Service, you represent and warrant that you meet these criteria.

2. Description of Service

VitaScribe provides an AI-powered ambient clinical documentation tool that captures and structures clinical conversations to assist in creating SOAP notes and other documentation.

The Service is designed to support, not replace, clinical judgment.
VitaScribe does not provide medical advice, and use of the Service does not establish a physician-patient relationship.
Users remain responsible for validating all generated content before including it in patient records.

3. Use Restrictions

You agree not to:

Use the Service for any unlawful or unauthorized purpose;
Violate PHIPA or other applicable privacy or data protection laws;
Reverse engineer, decompile, or otherwise interfere with the Service;
Upload or share any content that you are not legally permitted to disclose.

4. Privacy and Data Protection

VitaScribe complies with Ontario's Personal Health Information Protection Act (PHIPA) and other applicable privacy laws.

All personal health information (PHI) is processed and stored exclusively within Microsoft Azure Canada datacenters.
You are responsible for ensuring that you have the lawful authority and patient consent (where required) before transmitting PHI through the Service.

5. Data Ownership and License

You retain ownership of all data you upload or input, including PHI. By using the Service, you grant VitaScribe a limited, non-exclusive, revocable license to process and store this data solely for the purpose of providing and improving the Service, in compliance with PHIPA.

6. Security

We implement industry-standard technical and organizational safeguards to protect PHI and other sensitive data, including encryption at rest and in transit, role-based access controls, and monitoring. However, no system is completely secure. By using the Service, you acknowledge and accept this inherent risk.

7. AI Output Disclaimer

AI-generated outputs are intended for documentation support only. Users are responsible for verifying accuracy and clinical appropriateness before saving or sharing any generated note.

8. Service Availability and Modifications

We aim to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue aspects of the Service with reasonable notice where possible.

9. Fees and Payment

VitaScribe offers time-limited free trials for new users.
Continued use of the Service after the trial period requires a paid subscription or active organizational agreement.
Fees, billing cycles, and payment terms are outlined at the time of purchase and may be updated with notice.

10. Termination

VitaScribe may suspend or terminate accounts for violation of these Terms or legal obligations. You may cancel at any time, subject to any applicable billing cycle.

11. Limitation of Liability

To the fullest extent permitted by law, VitaScribe is not liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, resulting from use or inability to use the Service.

12. Indemnification

You agree to indemnify and hold harmless VitaScribe, its affiliates, and their respective officers, employees, and agents from any claims, losses, or damages arising out of your use of the Service or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.

14. Changes to Terms

We may revise these Terms periodically. If we make material changes, we will provide notice via email or in-app notification. Continued use of the Service indicates acceptance of the updated Terms.
